1. Subject

These general conditions of sale detail the rights and obligations of Quiet With A Lot to Say by Sarah Drabova (“the Provider”) and its customers (“the Client”) in the context of services including:

1. Creation of visual identity (logos, graphics, brand identity, etc.)

2. Creation of art (digital, physical, prints, custom and original pieces)

3. Creation of illustrations (book covers, visuals, icons, social media graphics, etc.)

4. Creation of photo and video content

5. Social media content creation and management

Engaging Quiet With A Lot to Say for services implies unreserved adherence to these terms and conditions.

2. Customer Responsibility

The Client agrees to provide accurate and truthful information throughout all interactions and notify the Provider of any changes. The Client is solely responsible for any delays, errors, or malfunctions arising from inaccurate or incomplete information.

To ensure efficient communication, the Client must maintain up-to-date contact information, including email, phone number, and mailing address.

3. Commitments of the Parties

1. Mutual Cooperation: The Client and Provider commit to active collaboration to ensure smooth project execution, communicating any difficulties promptly to allow appropriate action.

2. Client Deliverables: The Client agrees to provide necessary information, documents, and elements for the project within agreed deadlines, accounting for review times and corrections.

3. Provider Deliverables: The Provider commits to meeting design and project deadlines as agreed upon in the signed estimate.

4. Quotes & Orders

1. Estimates: Each project receives a detailed estimate outlining services, costs, deadlines, and delivery methods.

2. Validity: Estimates are valid for 30 days.

3. Order Confirmation: An order is confirmed upon the Client’s return of the signed estimate, marked “Read and approved,” and accompanied by a 30% non-refundable deposit.

5. Modifications & Corrections

1. Initial Corrections: The estimate typically includes three sets of corrections.

2. Additional Revisions: Beyond the initial corrections, any additional requests will incur extra charges and be subject to an additional estimate.

6. Rates & Payment Methods

1. Currency: Prices are quoted in euros (€) unless otherwise stated.

2. Deposit: A 30% non-refundable deposit is required to start the project.

3. Payment Plans: The balance may be paid in prior agreed installments based on the project.

4. Late Payment: Late payments may incur penalties of 10% of the invoice per month of delay and a flat-rate compensation of €40 per month.

5. Payment Methods: Payments are accepted via bank transfer.

7. Intellectual Property

1. Ownership: Quiet With A Lot to Say retains intellectual property rights until full payment is made.

2. Usage Rights: Upon full payment, operating rights as defined in the estimate are assigned to the Client.

3. Promotion: The Provider reserves the right to display completed projects in its portfolio and marketing materials unless the Client requests confidentiality in writing.

4. Reproduction: Original art, custom pieces, and illustrations cannot be reproduced, exhibited, or loaned without prior written agreement.

8. Delivery of Services

1. Delivery Date: Delivery is scheduled based on the signed agreement plus the specified project duration.

2. Delays: The Provider is not responsible for delays caused by late submission of content by the Client.

9. Force Majeure

The Provider is not liable for non-performance or delays due to force majeure events, defined as unforeseen and unavoidable external circumstances.

10. Termination

1. Cancellation by Client: The deposit remains non-refundable if the order is canceled by the Client after signing the estimate.

2. Termination by Provider: In the case of force majeure or a serious Client breach, services rendered up to that point will be charged proportionately.

11. Privacy

Quiet With A Lot to Say respects the confidentiality of Client information. The Client consents to the use of completed projects for promotional purposes unless confidentiality is requested in writing.

12. Ancillary Costs

Additional expenses such as licensing for fonts, stock images, printing, or unforeseen revisions are not included in the initial estimate and will be invoiced separately.

13. Applicable Law & Disputes

These terms are governed by the laws of the Czech Republic. Parties agree to seek amicable resolution for disputes. Failing that, disputes will be handled by competent Czech courts.

14. Acceptance of Terms

The Client’s signature on the estimate constitutes full acceptance of these terms and conditions.

Terms & Conditions for Commissions & Original Art

Quiet With A Lot to Say by Sarah Anna Marie

1. General

These Terms & Conditions apply to all artwork commissions and sales of original art by Quiet With A Lot to Say by Sarah Drabova (“the Artist”). By commissioning or purchasing artwork, you (“the Client”) agree to these terms.

2. Commission Process

1. Initial Consultation:

A consultation will determine the artwork’s specifications, including subject matter, size, color palette, and any other custom requests.

2. Quotation & Agreement:

A price quote and timeline will be provided after the initial consultation. Once agreed upon, a 50% non-refundable deposit is required to confirm the commission.

3. Progress Updates:

The Artist will provide updates at agreed milestones, allowing for minor adjustments. Significant changes requested by the Client after approval stages may incur additional fees.

4. Completion:

The remaining balance is due upon completion of the artwork before delivery or collection.

Payment

1. Currency: All prices are in Euro (EUR) unless otherwise agreed.

2. Payment Methods: Bank transfers and PayPal.

3. Non-Refundable Deposit: The 50% deposit secures the commission and covers materials and initial work.

4. Final Payment: The remaining balance is required before the artwork is released.

4. Delivery & Customs & Fees

1. Delivery Options: Available via shipping or collection from the Artist’s studio. Shipping fees are additional and calculated based on location and size.

2. Collection: By appointment only.

3. Customs, Taxes & Fees: Any customs duties, taxes, or additional fees incurred by the destination country are the Client’s responsibility. The Artist is not responsible for delays or issues caused by customs processing.

4. Risk of Damage: The Artist is not responsible for damage or delays caused by shipping providers. Insurance can be arranged at the Client’s expense.

5. Copyright & Usage

1. Artist’s Rights: The Artist retains all copyright and reproduction rights. The artwork may not be reproduced, copied, or resold for commercial purposes without written consent.

2. Portfolio Use: The Artist may use images of the commissioned artwork for portfolio, social media, or promotional purposes unless otherwise agreed.

3. Client Rights: The Client owns the physical artwork but not the copyright.

6. Cancellations & Refunds

1. Cancellation by Client: The deposit is non-refundable.

2. Cancellation by Artist: If the Artist must cancel the commission due to unforeseen circumstances, a full refund, including the deposit, will be issued.

3. Force Majeure: The Artist is not responsible for delays or cancellations due to circumstances beyond their control.

7. Returns & Exchanges

Original commissioned artwork is non-returnable and non-exchangeable.

8. Artwork Care

Clients are responsible for proper care of the artwork. The Artist is not liable for damage due to improper handling or environmental factors such as humidity or direct sunlight.

9. Agreement

By commissioning or purchasing artwork, the Client agrees to these Terms & Conditions.

2. Collection & Delivery Options

  1.         Personal Pickup: You may collect the artwork in person at a designated location. The exact address will be provided upon agreement.

  2.         Shipping: Artwork can be shipped via postal service. Shipping costs will be calculated based on the delivery address and must be paid in advance.

  3.         Personal Delivery: Subject to prior agreement and availability, I may offer personal delivery to your specified address. Additional fees may apply.

3. Payment

  1.         Payment is required in full before the artwork is released.

  2.         Accepted payment methods:

  4.         Cash (only for in-person pickup, upon prior agreement).

4. Refunds, Returns & Damage Policy

      All sales are final. No returns or refunds will be accepted unless the artwork arrives damaged.

        If the artwork is damaged upon arrival, you must:

  1.         Notify me within 2 days of delivery.

  2.         Provide clear photographs of the damage.

        If the damage is verified, you will need to return the artwork at your expense to:

  2.         Refunds or replacements will be issued only after the artwork is received and assessed.

5. Additional Terms

  1.         I am not responsible for delays, lost shipments, or damages caused by postal services or couriers.

  2.         Once the artwork is shipped or picked up, ownership transfers to the buyer, and I am no longer liable for any issues beyond those covered in the damage policy.
